Conduiit, Inc. – Website and Mobile Application Terms of Use

Welcome to Conduiit, Inc.'s website ("Site"). Please read these Terms of Use ("Terms") carefully before using this Site and any of its associated mobile applications (“Applications”). By accessing or using the Site or Applications, you (“Customer”) agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Site or Applications.

1. Acceptance of Terms

These Terms apply to all visitors, users, and others who access the Site. By using the Site, you represent that you are at least 18 years old or have legal parental or guardian consent.

2. Changes to Terms

Conduiit, Inc. reserves the right to modify or update these Terms at any time without prior notice. Your continued use of the Site after any changes signifies your acceptance of the updated Terms.

3. Use of the Site and Applications

You may use the Site and Applications only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site or Applications in any way that violates applicable federal, state, or local law or regulation.
• Attempt to gain unauthorized access to any portion of the Site or Applications, or any systems or networks connected to the Site.
• Circumvent, disable, Interfere, disrupt or hack the services provided, nor collect any data or intellectual property from the services other than for acceptable use in accordance with the Terms of Use.
• Disrupt the operation or security of the Site or Applications.
• Use any automated system to access the Site or Applications in a manner that sends more request messages than a human can reasonably produce.
• Use the Site, Applications and associated services provided therethrough for purposes other than intended

When using the Site or Applications you ensure that:

• All information provided is accurate and complete.
• All passwords are duly safeguarded and updated on a regular basis.
  
  

4. Use of the Conduiit Connect Debit Card

All users of the Conduiit Connect debit card program must adhere to the Cardholder Agreement.

The debit card is issued by Sutton Bank, member FDIC, pursuant to a license by Mastercard international.

5. Intellectual Property

All content, design, graphics, text, logos, and other materials on the Site or Applications are owned by or licensed to Conduiit, Inc. and are protected by intellectual property laws. You may not reproduce, distribute, or use any content from this Site without express written permission from Conduiit, Inc.

6. Third-Party Links

The Site or Applications may contain links to third-party websites. These links are provided for your convenience only. Conduiit, Inc. has no control over and assumes no responsibility for the content or practices of any third-party sites.

7. Customer Data

Customer shall retain all rights, titles and interests in and to a) all data and other information transmitted by Customer to Conduiit in connection with Customer’s use of the Site, Applications and associated services and; b) reports and other materials generated by the services following such transmission, provided however, that you hereby grant a worldwide, royalty-free, non-exclusive license to Conduiit, its sub suppliers and 3rd party partners including Sutton Bank, to use i) data generated as a result of your use of Conduiit services for the purpose of maintaining and improving the services; ii) non-identifiable, anonymous, aggregated data regarding your use of the services for statistical and marketing purposes in so far that no such use otherwise is permitted according to applicable data protection regulation.

As it pertains to the Conduiit Connect application, Conduiit collects certain information about you and the individual cardholders, and we share such information with Sutton Bank and third party service providers in order to operate and deliver Conduiit Connect and our services.

By accepting these Terms, you acknowledge and agree that you consent to the collection and sharing of your information as set forth in the Conduiit Privacy Policy which includes sharing with Sutton Bank and third-party service providers for the purposes described in the Conduiit Privacy Policy.

Unless you have provided your explicit permission, neither your or the cardholder’s personal data will be used for marketing purposes by us or our commercial partners (unless you have independently provided your consent to them directly), nor will it be shared with third parties unconnected with Conduiit Connect or the services.

8. Hosting and IT Security

Conduiit Inc hosts user data at Amazon Web Services [AWS] multi-tenant servers according to the AWS Service Terms in effect at all times, including the AWS Financial Services Addendum where required.

9. Maintenance

The Site, Applications and associated services will occasionally be subject to maintenance and updates. Conduiit will use reasonable endeavors to minimize the unavailability of the Site, Applications and associated services during these maintenance periods.

10. Changes to Site, Applications and associated services

Conduiit may at its sole discretion decide to change, add or deprecate features in the Site and Applications. By agreeing to these Terms, you acknowledge that the provisioning of services may change without notice. Conduiit will endeavor to provide 1 month’s notice of any significant changes that could have a material impact to how the Site and Applications are being used by its customers.

11. Disclaimer of Warranties

This Site and Applications is provided on an “as is” and “as available” basis. Conduiit, Inc. makes no warranties or representations, express or implied, about the Site or Applications, including but not limited to its accuracy, reliability, availability, or fitness for a particular purpose.

Specifically, Conduiit does not warrant that a) the Site, Applications and associated services will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the services are free of viruses or other harmful components; d) the results of using the services will meet your requirements.

12. Limitation of Liability

To the fullest extent permitted by law, Conduiit, Inc. shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or relating to your use of, or inability to use, the Site, Applications and associated services.

13. Indemnification

You agree to indemnify, defend, and hold harmless Conduiit, Inc. and its affiliates, officers, directors, employees, and agents and Sutton Bank from and against all claims, liabilities, expenses, damages, and losses arising from your use of the Site or your violation of these Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Hudson County, New Jersey for any dispute arising out of these Terms.

15. Termination

Conduiit, Inc. reserves the right to terminate or suspend your access to the Site, without notice, for conduct that violates these Terms or is otherwise harmful to other users, Conduiit, Inc., or third parties.
